Where a signed Service Agreement conflicts with these Terms, the Service Agreement prevails.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.

Stratis Outsourcing provides professional outsourced business services to companies across the USA, Canada, UK, Australia, and the Gulf region, including but not limited to:

- Social Media Management — Content creation, scheduling, and community management
- CRM Development & Support — Custom Laravel CRM development and ongoing support
- AI Voice Agents & Workflows — Intelligent automation, AI-powered voice systems, and workflow optimisation
The specific scope, deliverables, timeline, and fees for each engagement are set out in a written Service Agreement or Statement of Work, which must be executed by both parties before services commence.
Eligibility
Our website and services are intended for businesses and professionals. You must be at least 18 years of age and have the legal capacity to enter into contracts in your jurisdiction to use our services. By using the website or engaging our services, you confirm that you meet these requirements.
We reserve the right to refuse service to any business or individual at our sole discretion, including where we believe engagement would create a conflict of interest or where the requested services fall outside our areas of expertise.

Deliverables from service engagements
Unless otherwise specified in your Service Agreement, upon receipt of full payment for a project:
- Custom-developed code, designs, and content created specifically for your project will be owned by you
- Any pre-existing tools, frameworks, libraries, or methodologies used in your project remain our property (or the property of their respective owners) and are licensed to you on a non-exclusive basis
- Open-source components remain subject to their respective licences
Feedback
If you submit feedback, suggestions, or ideas about our services, you grant us a non-exclusive, worldwide, royalty-free licence to use such feedback for any purpose without obligation to you.
Payment Terms
Payment terms for service engagements are set out in individual Service Agreements. General payment conditions include:
- Invoicing — Invoices are issued in accordance with the schedule agreed in your Service Agreement (monthly, milestone-based, or project completion)
- Payment period — Payment is due within 14 days of the invoice date unless otherwise agreed in writing
- Late payments — Overdue balances may incur interest at the rate of 1.5% per month (18% per annum), or the maximum rate permitted by applicable law, whichever is lower
- Disputed invoices — You must notify us of any invoice dispute within 7 days of the invoice date. Undisputed portions remain payable by the due date
- Suspension of services — We reserve the right to suspend or terminate services for accounts with overdue balances exceeding 30 days, following written notice
All fees are quoted in USD unless otherwise agreed. Applicable taxes (including GST, VAT, HST, or sales tax) are added where required by law.
Confidentiality
Both parties agree to keep confidential any non-public information disclosed by the other party in the course of the engagement ("Confidential Information"). This includes business processes, financial data, client lists, trade secrets, and proprietary software.
Confidential Information does not include information that:
- Is or becomes publicly known through no breach of this agreement
- Was rightfully in the receiving party's possession before disclosure
- Is independently developed by the receiving party without reference to the disclosing party's Confidential Information
- Is required to be disclosed by law, court order, or regulatory authority
These confidentiality obligations survive termination of any Service Agreement for a period of 3 years. For financial data processed under bookkeeping or payroll engagements, we maintain strict professional confidentiality standards consistent with applicable accounting standards.

Our total aggregate liability to you in respect of any claim arising out of or related to these Terms or our services shall not exceed the fees paid by you to us in the 3 months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless Stratis Outsourcing and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of or inability to use the website or our services
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Any information or content you provide to us that is inaccurate, misleading, or violates applicable laws
Termination
Either party may terminate a Service Agreement in accordance with the terms set out in that agreement. In general:
- Termination for convenience — Either party may terminate with 30 days' written notice unless a longer notice period is specified in the Service Agreement
- Termination for cause — Either party may terminate immediately upon written notice if the other party materially breaches the agreement and fails to cure the breach within 14 days of receiving written notice of the breach
- Effect of termination — Upon termination, you are responsible for payment of all fees for services rendered up to the termination date. We will deliver any completed deliverables and, where practicable, return your data in a standard format within 30 days
We reserve the right to suspend or terminate your access to this website at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict of law provisions.
For clients located in Canada, the UK, Australia, or the Gulf region, mandatory consumer and business protection laws of your jurisdiction may also apply and are not excluded by this clause. Where mandatory local law provides you with rights that are more protective than these Terms, those rights are not excluded.
Dispute Resolution
Informal resolution first
Before initiating any formal legal proceeding, we encourage you to contact us at grow@stratisoutsourcing.com to describe the issue. We will make a good-faith effort to resolve disputes informally within 30 days of receiving written notice.
Mediation
If informal resolution fails, the parties agree to first attempt mediation through a mutually agreed mediator before pursuing litigation. The cost of mediation shall be shared equally unless otherwise agreed.
Jurisdiction
If mediation is unsuccessful, any dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina, USA, and you consent to personal jurisdiction in those courts.
Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. For existing clients under active Service Agreements, we will provide 30 days' written notice of material changes before they take effect.
Your continued use of the website or services after any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, please cease using our website and contact us to discuss your service arrangement.
